Udyam and Startup India for a Beauty Brand: What You Gain

Two registrations come up in almost every founder conversation: Udyam for MSMEs and DPIIT recognition under Startup India. They are free to apply for, they do different things, and neither replaces your cosmetic licence. Here is how to think about each.

The difference

Udyam and DPIIT recognition are not the same thing

Udyam registration is the government’s registration for micro, small and medium enterprises. It is online, free and based on your business details. DPIIT recognition is a separate recognition of a startup by the Department for Promotion of Industry and Internal Trade, and it comes with its own eligibility rules.

You can hold one, both or neither. Most small beauty brands start with Udyam, because it is easy and useful for credit and supplier protections. DPIIT recognition is worth checking if your brand is a new company with something innovative in how it solves a problem.

Neither registration replaces your cosmetic licence, trademark or GST. They are additional. See do you need a licence to sell cosmetics for the licence side.
Udyam

What Udyam registration is and what it gives you

Udyam registration is done online at the Udyam registration portal. As we understand it, you need your Aadhaar, PAN and, for most businesses now, your GST details linked. The registration is free, and you receive a certificate and a number.

✓Classification as a micro, small or medium enterprise, based on investment and turnover. The limits were revised in 2025, so check the current figures on the portal.
✓Access to schemes meant for MSMEs, such as priority sector lending and credit guarantee support through banks. Availability depends on your bank and the scheme.
✓Payment protection: under the MSME Development Act, buyers have time limits for paying micro and small suppliers. This matters if you supply retailers or other businesses.
✓A recognised identity for tenders and supplier registrations.

Because a registration is free, avoid anyone offering to do it for a fee as though it were a complicated service. Use the official portal. Keep the certificate with your records for funding applications, covered in funding a cosmetic startup in India.

Startup India

What DPIIT recognition is and who qualifies

The Startup India portal explains how to apply for recognition as a startup. From the Startup India kit we reviewed, the main conditions are that the entity is incorporated as a private limited company, registered partnership or limited liability partnership, is within a set number of years of incorporation (up to ten years in the kit), has annual turnover below a limit (Rs 100 crore in the kit) and works on innovation or a scalable model. The kit is dated 2019, so read the current criteria before you apply.

The innovation condition is the one that matters most to a beauty brand. A brand that simply buys a ready formula and sells it may not meet it. A brand with a genuinely new product approach, a new technology-led business model or a differentiated formula might. The assessment is made by DPIIT, so check the guidance and apply only if you believe you fit.

Benefits that are usually mentioned

✓A rebate on trademark filing fees for recognised startups. The kit mentions a 50 per cent rebate; check the current figure on IP India. See trademark classes and the process.
✓Self-certification under some labour and environment laws, subject to conditions.
✓Access to startup funding schemes and networks.
✓An income tax exemption for eligible startups, which needs a separate approval and has its own conditions.

Do not assume you will receive every benefit. Each has conditions. Read the official page before you plan around any of them.

Which first

Which registration should a new beauty brand do first?

SituationSuggested approach
Sole proprietor, selling online, just startingUdyam first. Consider GST. DPIIT only if you form a company and meet the criteria.
Private limited company with a new product approachUdyam, plus check DPIIT eligibility.
Selling to retailers and distributorsUdyam for payment protection and supplier registration.
Applying for a bank loanUdyam, with your business plan and quotes. See funding.

Register your business entity first, because both registrations are linked to the entity’s PAN. Choosing a structure is a legal and tax decision, so ask a chartered accountant. See the launch checklist for where this fits among other tasks.

Steps

How to apply, in order

01

Decide your entity

Proprietorship, partnership, LLP or company.

02

Get PAN and GST in place

Udyam links to them.

03

Register on Udyam

On the official portal, using the details above.

04

Check DPIIT criteria

On the Startup India site. Prepare a short description of the innovation.

05

Keep the certificates

You will need them for banks, tenders and trademark rebates.

Registration takes minutes on Udyam. DPIIT recognition involves an application and review. For tax details see GST for cosmetic brands.

Limits

What these registrations do not do

✓They do not give you a licence to manufacture or sell cosmetics. For that, see the licence guide and the compliance checklist.
✓They do not protect your brand name. That is trademark work.
✓They do not guarantee funding or tax benefits.
✓They do not replace GST registration where it is required.

Treat them as helpful additions, and keep the product, safety and customer work at the centre of your plan.

Entity

Choosing a business structure before you register

Udyam and Startup India both attach to a business entity, so choose that first. The right structure depends on your plans for partners, funding and liability, and a chartered accountant or company secretary is the right person to advise. The general differences are:

StructureTypical featuresThink about
Sole proprietorshipSimple to start, owner and business are legally the sameUnlimited personal liability; harder to bring in investors
Partnership or LLPShared ownership; LLP offers limited liabilityNeeds a written agreement on roles and exit
Private limited companySeparate legal entity, can issue sharesMore compliance; usual route for outside investors and DPIIT recognition

Whatever you choose, use the same legal name on your trademark application, GST registration, label and bank account. Mismatched names create delays later. See trademark classes and the process.

Documents

Documents to keep ready

✓PAN of the business and, for proprietors, of the owner.
✓Aadhaar of the proprietor or authorised signatory.
✓GST registration details, once you have them.
✓Business bank account details.
✓Address proof of the business place.
✓Incorporation or partnership documents, if applicable.
✓A short description of what you make and your NIC activity code, which the portal helps you choose.

Keep digital copies in one folder. The same documents are needed for bank loans, marketplace onboarding and licence applications. See where to sell cosmetics and funding a cosmetic startup.

Scams

Avoid paying for free registrations

Because Udyam is free and online, any website charging a large fee for ‘registration’ is selling you something you can do yourself. Look for the official government domain, check the address before you enter any Aadhaar or PAN details and never share OTPs with an agent.

✓Official portals end in gov.in or nic.in.
✓Be cautious about calls or messages claiming your registration will lapse unless you pay.
✓Keep the certificate PDF from the official site as your proof.

Professional fees are fair for work that needs expertise, such as a DPIIT application with a clear innovation story or a trademark reply. They are not fair for a form you can complete in minutes.

Banks

How Udyam helps when you talk to a bank

Banks use Udyam details to see whether you fall under MSME lending schemes. Bring the certificate, your business plan, your supplier quotes and a clear statement of what you want to borrow for. A plan that shows costs from written quotes is far more convincing than a general figure.

Loan schemes and limits change, so ask the bank which ones apply. We explain the main routes in funding a cosmetic startup in India. Keep personal and business accounts separate from the start so your statements tell a clear story.
